Terms of Service

These Terms of Service ("Terms") form a binding legal agreement. Please read them carefully, in particular the disclaimers in Section 10, the limitation of liability in Section 14 and the indemnity in Section 15.

Effective date: 22 October 2026 - Version: 1.1

1. Who we are

1.1HowToRomania is a brand. The service is operated by IPATE LAURENȚIU-SORIN PERSOANĂ FIZICĂ AUTORIZATĂ (PFA), a Romanian sole trader (persoană fizică autorizată), with its headquarters in Bucharest, 27-33 Schitu Măgureanu Bulevard, building C, 3rd Floor, apartment 116, 1st District, Romania, registered with the Trade Registry under no. F2021002015407, EUID ROONRC.F2021002015407, having sole registration code (CUI) 44705062 ("we", "us").

2. What these terms cover

2.1These terms govern your use of:

2.4(together, the "Service").

2.5By creating an API key, calling the Service, or clicking "I agree" (or an equivalent confirmation) where such a control is presented, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create a key, do not call the Service and stop using it immediately. If you use the Service for an organisation, you confirm that you have authority to bind it, and "you" then means that organisation.

3. The Service

3.1The Service returns data obtained from official Romanian public sources and related third-party tools ("Source Sites"). Each Source Site may apply its own terms of use, licence conditions or technical restrictions, which can change at any time without notice to us. We do not control, and are not responsible for, the content, availability, accuracy or terms of any Source Site.

3.6We may add, change, suspend or remove any feature, Source Site integration or part of the Service at any time, with or without notice, if we consider it necessary or appropriate, including where a Source Site changes its terms, restricts access, or becomes unavailable. We will try to give reasonable notice of material removals via the website or email, but we are not obliged to do so and are not liable for any loss arising from such changes.

4. Accounts and API keys

5. AI agents acting for you

5.1You may connect the Service to AI agents, assistants, large language models or automations, including via the MCP server (together, "Agents"). You are solely responsible for everything an Agent does using your key or credentials, exactly as if you had done it yourself: every call it makes, every credit it spends, every interpretation, summary, transformation or restatement of our data it produces, and every decision made or action taken on the basis of its output. We have no visibility into, and no control over, how an Agent uses, stores, combines or acts on data obtained from the Service, and we make no representation that the Service, its data or its documentation are fit for autonomous or unsupervised consumption by an Agent. You must configure appropriate safeguards, limits and human oversight for any Agent you connect to the Service. We are not responsible for any error, hallucination, misstatement, omission or unintended action by an Agent, a large language model, or any other automated system interacting with the Service, whether or not operated by you.

6. Pricing and payment

7. Refunds and right of withdrawal

7.5EU consumers. If you are a consumer in the EU, you normally have a 14-day right of withdrawal. Credits are digital content/services supplied immediately. By buying credits you expressly request immediate supply and acknowledge that you lose your right of withdrawal for credits once used. Unused credits remain refundable as above. The mandatory pre-contractual information required by OUG no. 34/2014 (including our identity, the main characteristics of the Service, total price, and the conditions, time limit and procedure for exercising the right of withdrawal) is set out in our Pre-Contractual and Withdrawal Information Annex, available at howtoromania.io/consumer-information and incorporated into these Terms by reference, which you will be given the opportunity to review before completing a purchase.

7.6Credits are either digital content not supplied on a tangible medium, or a digital service, within the meaning of the Romanian consumer protection rules implementing Directive (EU) 2011/83 (OUG no. 34/2014), and digital content or a digital service within the meaning of OUG no. 141/2021 (transposing Directive (EU) 2019/770). Under art. 16 of OUG 34/2014, the right of withdrawal does not apply once performance has begun with the consumer's prior express consent and acknowledgement that the right of withdrawal will be lost. By purchasing credits and expressly requesting immediate access, you give that consent and acknowledgement, and you lose your right of withdrawal in respect of credits once we have begun supplying them (that is, once the credit balance is made available on your key), except for any unused credits as described above. Our checkout flow is designed to capture this consent and acknowledgement at the point of purchase, together with a confirmation on a durable medium (such as a purchase confirmation email). This section does not affect any statutory right of withdrawal you may have in respect of a purchase that has not yet been performed.

8. Acceptable use

8.1You must not:

  1. 8.2Resell, sublicense or redistribute bulk data: dumps, mirrors, databases, feeds or datasets built from our responses, whether directly or through an Agent, and whether for free or for payment.
  2. 8.3Scrape or systematically extract the Service to rebuild or replicate its datasets, or to build a competing data product.
  3. 8.4Profile individuals unlawfully, including tracking, monitoring or building profiles of company representatives, sole traders or court parties beyond a lawful, specific purpose.
  4. 8.5Make decisions with legal or similarly significant effects about natural persons (for example credit, employment, housing, insurance) based on the Service without meaningful human review.
  5. 8.6Try to re-identify masked persons in court data.
  6. 8.7Break the law, including data protection, consumer, competition and sanctions law.
  7. 8.8Circumvent rate limits, credit metering or key limits, share keys publicly, or create multiple keys to get free credits.
  8. 8.9Attack, overload, probe or reverse engineer the Service, or send malware or abusive traffic.
  9. 8.10Present our data as an official certificate or as issued by a public authority.

8.11Normal use inside your own products is allowed: showing results to your users, storing results you need for a specific purpose, and using them in your own workflows and agents.

8.12Clauses 1 and 2 restrict what you may do with our Service and the way you access it; they do not expand, and are not intended to expand, any rights you may independently have under the open licences applicable to certain source data (for example CC-BY 4.0 for ONRC open data) or under the reuse rules of Law no. 179/2022 and Directive (EU) 2019/1024. Conversely, nothing in this Section 8 limits or reduces your independent obligation under Section 8A to comply with the terms of each Source Site.

8A. Your responsibility for Source Site terms

  1. 8A.1Some Source Sites make their data available under an open licence or a published reuse framework (for example CC-BY 4.0 for certain ONRC open data, or the reuse regime under Law no. 179/2022 and Directive (EU) 2019/1024). Others make data available only through their own terms of use, subscription agreement or licence (for example portal.just.ro, legislatie.just.ro, the Insolvency Proceedings Bulletin (BPI), or third-party commercial data providers), which may restrict or prohibit commercial reuse, resale, redistribution, bulk extraction or the creation of derivative databases, independently of anything in these Terms.
  2. 8A.2We make reasonable efforts to use Source Sites consistently with their published terms, but we do not represent, warrant or guarantee that every present or future use you make of data obtained through the Service complies with every Source Site's terms, and we are not able to monitor or control how you or your Agents use that data downstream.
  3. 8A.3You are solely responsible for identifying, checking and complying with the terms of use, licence conditions and any applicable intellectual property or database rights of each Source Site relevant to your intended use, including any restriction on commercial use, resale or redistribution, before you resell, redistribute, sublicense, publish or otherwise make available to a third party any data obtained through the Service that originates from that Source Site.
  4. 8A.4If a Source Site restricts or prohibits an activity that you intend to carry out with data obtained through the Service, that restriction binds you directly, regardless of whether these Terms or the Service's technical design would otherwise permit the activity. We reserve the right to suspend or restrict access to any Source Site integration at any time if we consider that continuing to provide it may breach, or expose us to a claim for breaching, that Source Site's terms.

8B. Prohibition on resale of Service data and liability for breach

  1. 8B.1No resale. Except as expressly permitted in writing by us, you must not sell, resell, rent, lease, sublicense, broker, redistribute, syndicate, or otherwise commercially exploit, directly or indirectly (including through an Agent, an affiliate, a reseller, or any other third party acting at your direction or on your behalf), any data, score, report or other output obtained through the Service, whether on a standalone basis, as part of a bundled product, as a data feed, or as training or grounding data for another product or model. This prohibition applies in addition to, and does not limit, the restrictions on resale, redistribution and bulk extraction in Sections 8 and 8A and in our Acceptable Use and API Policy.
  2. 8B.2Permitted use remains unaffected. This Section 8B does not prevent you from using Service data within your own product or internal workflow as contemplated by Section 8 ("Normal use inside your own products is allowed"); it prohibits you from making that data, or a product substantially composed of it, available to a third party as a resold or redistributed data product in its own right.
  3. 8B.3Liability shift on breach. If you breach this Section 8B, or cause or permit an Agent or a third party to do so: (i) our total liability to you under Section 14 in respect of any claim connected, directly or indirectly, with the data you resold or redistributed is reduced to zero, to the maximum extent permitted by law, regardless of the cause of action; (ii) you are liable to us, and will indemnify us in full under Section 15, for all losses, costs, fines, damages and reasonable legal fees we incur as a result of the breach, including any claim brought against us by a Source Site, a data subject, a regulator, or any other third party arising out of or in connection with your resale or redistribution; and (iii) we may immediately suspend or terminate your access without notice and without any refund of unused credits.
  4. 8B.4Rationale and acceptance. You acknowledge that the price of the Service is calculated on the basis that you will not resell Service data, that unauthorised resale could expose us to claims from Source Sites and third parties that we cannot control or price for, and that the liability shift and indemnity in this Section 8B are a reasonable and proportionate allocation of that risk to the party best placed to prevent it – namely, you. Like the clauses referred to in Section 14, this Section 8B is a standard clause restricting our liability within the meaning of art. 1.203 of the Romanian Civil Code and requires your express written acceptance, which you give in the manner described in Section 2.

9. Your responsibilities for personal data

9.1Responses can contain personal data (for example names and roles of company representatives, names of PFA/II). When you use such data, you are an independent controller and must have your own legal basis, respect data-subject rights and follow the GDPR. See our Privacy Policy.

9.2When you send us content containing personal data (for example invoice XML to validate, generate, parse or render), we process it only to provide that call.

9.3For e-Factura calls where you submit invoice content for us to validate, generate, parse or render, we act as your processor within the meaning of art. 28 GDPR, processing that content solely on your documented instructions (as reflected in the specific API call you make) and solely to return the result of that call to you. We do not submit invoices to ANAF's RO e-Factura system (SPV) on your behalf, do not hold or use your ANAF credentials or digital certificate, and do not act as your tax representative, fiscal intermediary or agent for any regulatory purpose. If we introduce a feature that submits invoices to SPV on your behalf, that feature will be governed by additional terms setting out the scope of our mandate, which deadlines and outcomes (if any) we accept responsibility for, and which remain your sole responsibility as the taxpayer; absent those additional terms, you remain solely responsible for your own submission, deadlines and compliance with RO e-Factura obligations. The terms of our Data Processing Addendum ("DPA"), available at howtoromania.io/dpa and incorporated into these Terms by reference, apply to our processing of invoice content as described in this Section.

10. Data accuracy, no advice

11. Availability, no SLA

11.1We aim to keep the Service available, but we provide it "as is" and "as available", with no service level agreement. Public sources can be slow or offline, and the Service can be interrupted for maintenance, failures or reasons outside our control. Rate limits apply.

12. Intellectual property and licences

13. Suspension and termination

14. Liability

14.4Important: unusual clauses requiring express acceptance. Under art. 1203 of the Romanian Civil Code, standard clauses that limit the liability of the party proposing them are only effective if expressly accepted in writing by the other party. The limitations of liability, exclusions of warranty and indemnity in Sections 8B, 10, 14 and 15 of these Terms are such clauses. By ticking the applicable acceptance box, or otherwise expressly confirming acceptance of these Terms where such a mechanism is presented to you, you expressly accept these clauses in writing. If you are a consumer, nothing in this Section 14 limits any right you have under Law no. 193/2000 on unfair terms in consumer contracts that cannot lawfully be excluded or limited; in case of conflict with a mandatory consumer-protection rule applicable to you, that mandatory rule prevails solely to the extent of the conflict.

15. Indemnity

15.1If you are a business, you will defend, indemnify and hold us harmless against all reasonable costs, damages, liabilities and losses (including reasonable legal fees) arising from any third-party claim, action or proceeding caused by or arising out of: (a) your breach of these Terms, including Section 8A (Source Site terms) and Section 8B (prohibition on resale); (b) your or your Agent's breach of the law, including data protection, consumer-protection, competition, intellectual property, database-right or sanctions law; (c) your use, resale, redistribution or sublicensing of data obtained through the Service in breach of Section 8B, a Source Site's terms, licence conditions or intellectual property or database rights; (d) any use of personal data obtained from the Service by you or your Agent; or (e) any action taken or decision made by an Agent using your key or credentials.

15.2This indemnity applies only to business customers and does not apply if you are a consumer acting outside a trade, business, craft or profession.

16. Changes to these terms

16.1We may update these Terms. We will post the new version here with a new effective date and, for material changes, email key holders at least 14 days in advance. Continuing to use the Service after the effective date means you accept the changes. If you do not agree, stop using the Service and request a refund of unused purchased credits in accordance with Section 7.

17. Governing law and disputes

17.4If you are a consumer resident in the European Union, you may bring proceedings in the courts of your country of residence, and you keep the benefit of any mandatory consumer-protection provisions of that country's law that cannot be derogated from by agreement. Before going to court, you may also refer a dispute to the Autoritatea Națională pentru Protecția Consumatorilor (ANPC) (anpc.ro) or to another competent alternative dispute resolution (ADR) entity, in accordance with Government Ordinance no. 38/2015 on the alternative resolution of disputes between consumers and traders. The European Commission's Online Dispute Resolution platform has been discontinued; if the European Commission or another body operates a successor platform at the time of your dispute, we will tell you how to access it on request. We will provide the ANPC/SAL information and labelling required of us as a trader at the point of sale and on our website.
